These Terms of Use govern your use of the website located at https://www.lawmee.com (“Site”) and any related services provided by Lawmee Pty Ltd (“Lawmee”) and its related bodies corporate. Lawmee may update these Terms of Use from time to time, and we encourage you to review them when logging into the Site.

Limitations of Use

By using the Site, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

(a) modify, copy, prepare derivative works of, decompile, or reverse engineer any materials or software contained on the Site;

(b) remove any copyright or other proprietary notations from any materials or software on the Site;

(c) transfer materials from the Site to another person or “mirror” the materials on any other server;

(d) knowingly or negligently use the Site or any of its associated services in a way that abuses or disrupts Lawmee’s computer systems, networks or any service that Lawmee provides;

(e) use the Site or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;

(f) use the Site or its associated services in violation of any applicable laws or regulations;

(g) use the Site in conjunction with sending unauthorised advertising or spam;

(h) harvest, collect or gather user data from or through the Site without the consent of the persons to whom such data relates; or

(i) use the Site or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Lawmee’s services include sourcing lawyers and other professional staff (“Secondees") for contract positions with customer organisations (“Clients”), and you acknowledge that in using the Site, you may be provided with the details of potential Secondees or potential Clients, as applicable. If you directly or indirectly use the Site or any information you obtain through using the Site to arrange the provision of services between any potential or actual Secondee or Client (a “Placement”), you agree and/or acknowledge that Lawmee has the right to charge the Client the applicable daily rates for the Secondee for the duration of the Placement, and if the Secondee is made an employee of the Client, a one-time conversion fee calculated at 25 times the daily rate.

Intellectual Property

The intellectual property in the materials contained in the Site is owned by or licensed to Lawmee and is protected by applicable copyright, trademark and other intellectual property laws. If necessary for your use of the Site, your receipt of services from Lawmee, or your record-keeping purposes, you may download one copy and make a single hard copy of these Terms of Use and of any other page on the Site.

Your above right to download and make copies of materials constitutes the grant of a license, not a transfer of title. The license terminates when you no longer need the materials for the purposes described above, or if you violate any of the Terms of Use.

Lawmee may use your logo to build your opportunity and client profiles on the site, including showing which companies are using the platform, at its discretion.

Liability

The Site and the materials on the Site are provided on an ‘as is’ basis. To the extent permitted by law, Lawmee makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall Lawmee or its suppliers be liable for any loss (including consequential loss) suffered or incurred by you or any third party arising from the use of, or inability to use the Site or the materials or services on the Site, even if Lawmee or an authorised representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

If the exclusions and/or limitations in this Section 4 are determined by a court or other relevant authority to be invalid or inapplicable under the laws applying to your use of the Site, they shall instead apply to the maximum extent permitted by those laws.

Passwords and Security

You are responsible for maintaining confidentiality and adequate security and control of any and all user IDs, passwords, hints, personal identification numbers (PINs), or any other passwords or codes that you use to access the Site.

You agree that you will take all necessary steps to keep safe and not disclose, discuss, compare, or share information about your accounts or passwords. Any loss or compromise of the foregoing information and/or your personal information may result in unauthorised access to your account by third parties and the loss or theft of any information held in your account and any associated accounts.

You are responsible for keeping your email address and telephone number up to date in order to receive any notices or alerts that Lawmee may send you.

Lawmee assume no responsibility for, and you indemnify us to the maximum extent permitted by law for, any loss that you may sustain due to compromise of your account login credentials, except to the extent caused by Lawmee’s fraud or negligence.

If you believe your account information has been lost or compromised in any manner, contact us immediately, through clientservices@lawmee.com.

Accuracy of Materials

The materials appearing on the Site are not comprehensive and are for general information purposes only. Lawmee does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Site, or otherwise relating to such materials or on any resources linked to the Site.

Links

Lawmee has not reviewed any site linked to the Site and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by Lawmee of the site. Use of any such linked site is at your own risk and you should make your own investigations with respect to the suitability of those sites.

Right to Terminate

Lawmee may suspend or terminate your right to use the Site immediately upon written notice to you for any breach of these Terms of Use.

Severance

Any provision of these Terms of Use which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Use is not affected.

Governing Law

These Terms of Use are governed by and construed in accordance with the laws applicable in Western Australia. You irrevocably submit to the exclusive jurisdiction of the courts of Western Australia and the courts of appeal therefrom.
